These Terms of Service ("Terms") govern your use of the Foldy Bag online store and your purchase of products from us.

The Foldy Bag store is operated by:

FLIS SPECIAL d.o.o., a company established in Slovenia, operating under the Foldy Bag brand.

By using our website or placing an order, you agree to these Terms and the policies referenced in them.

2. Store Availability

Foldy Bag currently offers products primarily to customers at eligible addresses in the United States.

We may change the territories to which we sell or ship.

3. Eligibility

By placing an order, you represent that you have legal capacity to enter into the transaction or have authorization from a parent or legal guardian where legally required.

4. Product Information

We make reasonable efforts to ensure that product:

  • photographs;
  • descriptions;
  • dimensions;
  • materials;
  • colors;
  • quantities; and
  • specifications

are accurate.

Actual colors may appear slightly different due to lighting, photography, screen settings, or normal manufacturing variation.

We will not intentionally substitute a materially different product without appropriate notice.

5. Prices

Unless otherwise stated, prices for U.S. customers are displayed in U.S. dollars (USD).

Prices may change at any time before an order is placed.

A price applicable to a completed order will not ordinarily change afterward, except where an obvious technical or pricing error has occurred and applicable law permits correction.

6. Taxes

Applicable sales taxes or other transaction taxes, where required, may be calculated and displayed during checkout.

7. Promotions and Bundles

Foldy Bag may offer:

  • promotional prices;
  • discount codes;
  • multi-buy offers;
  • bundles; or
  • limited promotional campaigns.

Each promotion is subject to any conditions displayed with that promotion.

Promotions may not be combined unless expressly stated.

We do not intend to use fictitious reference prices or misleading savings representations.

8. Orders

Submitting an order is an offer to purchase the products shown in your order.

We may reject or cancel an order where reasonably necessary because of:

  • payment failure;
  • suspected fraud;
  • inaccurate information;
  • product unavailability;
  • inability to ship to the address;
  • obvious pricing or technical errors;
  • violation of these Terms; or
  • legal or regulatory restrictions.

If we cancel a paid order that has not been fulfilled, the applicable payment will be refunded.

9. Payment

Orders must be paid using a payment method available at checkout.

Payment processing may be performed by Shopify Payments and/or other independent payment providers.

You agree to provide accurate and authorized payment information.

10. Third-Party Fulfillment / Dropshipping

Foldy Bag operates using a third-party fulfillment model.

Products are not necessarily stored in a warehouse owned by FLIS SPECIAL d.o.o.

After an order is placed, the product may be sourced, packed, and shipped directly to the customer by our fulfillment partner, including CJ Dropshipping, and associated logistics providers.

Orders may therefore originate outside the United States, including from China or another available fulfillment location.

FLIS SPECIAL d.o.o. remains the seller and customer contact for purchases made through the Foldy Bag store.

11. Shipping

Processing, shipping, tracking, customs, and delivery information is governed by our Shipping Policy.

Delivery estimates are not guarantees unless expressly identified as guaranteed.

12. Shipping Delays

If we become aware that an order cannot be shipped within the promised shipping period, we will handle the delay in accordance with applicable law, including any applicable obligation to provide the customer with a cancellation/refund option.

13. Returns and Refunds

Returns, cancellations, damaged products, and refunds are governed by our Return & Refund Policy.

14. Shipping Address

Customers must provide accurate and complete delivery information.

We cannot guarantee that a delivery address can be changed once fulfillment has begun.

15. Product Availability

The availability shown on the website may occasionally differ from actual supplier inventory due to synchronization delays or unexpected demand.

If a product becomes unavailable after purchase and we cannot reasonably fulfill the order, we will contact you and provide an appropriate refund or alternative where agreed.

16. Acceptable Use

You must not use our website to:

  • engage in unlawful activity;
  • submit fraudulent purchases;
  • misuse payment systems;
  • introduce malicious software;
  • attempt unauthorized access;
  • interfere with website operation;
  • violate intellectual property rights;
  • impersonate another person; or
  • collect information unlawfully.

17. Intellectual Property

Unless otherwise stated, original Foldy Bag branding, graphics, text, photographs, videos, logo materials, and website content created by or for Foldy Bag are owned by or licensed to FLIS SPECIAL d.o.o.

You may not commercially reproduce, distribute, or exploit protected Foldy Bag content without permission.

Third-party names, trademarks, and materials remain the property of their respective owners.

18. Customer Reviews and Content

If you voluntarily submit a review, photograph, video, or other content, you represent that:

  • the content reflects your genuine experience where applicable;
  • you have the right to submit it;
  • it does not infringe third-party rights; and
  • it is not fraudulent or unlawful.

We will not intentionally manipulate a genuine customer review in a way that materially misrepresents the customer's opinion.

19. Third-Party Services

Our website may use third-party services including:

  • Shopify;
  • payment providers;
  • CJ Dropshipping;
  • shipping carriers;
  • analytics services;
  • advertising platforms; and
  • customer-support applications.

Independent third-party services may be subject to their own terms and privacy policies.

20. Errors and Website Availability

We may correct typographical errors, technical errors, inaccuracies, or omissions.

We do not guarantee that the website will always be uninterrupted or error-free.

21. Warranties and Consumer Rights

Nothing in these Terms excludes or limits any warranty, guarantee, remedy, or consumer right that cannot legally be excluded.

To the maximum extent permitted by applicable law, we make no additional warranties beyond those expressly stated.

22. Limitation of Liability

To the maximum extent permitted by applicable law, FLIS SPECIAL d.o.o. will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of the website or purchase of products.

This limitation does not apply where liability cannot lawfully be excluded or limited, including where applicable in cases of fraud, intentional misconduct, personal injury, or other legally non-excludable liability.

23. Indemnification

To the extent permitted by law, you agree to be responsible for losses reasonably arising from your unlawful use of our website or intentional violation of these Terms.

24. Events Outside Our Reasonable Control

We will not be responsible for delays caused solely by events outside our reasonable control, such as:

  • severe weather;
  • natural disasters;
  • carrier disruptions;
  • customs disruptions;
  • governmental restrictions;
  • major infrastructure outages; or
  • other extraordinary events.

This clause does not remove any cancellation, refund, or other rights that applicable law gives the customer.

25. Severability

If one provision of these Terms is found invalid or unenforceable, the remaining provisions will remain effective to the extent permitted by law.

26. No Waiver

Failure to enforce a provision immediately does not necessarily waive our right to enforce it later.

27. Governing Law

To the extent permitted by applicable law, these Terms are governed by the laws of Slovenia.

This choice of law does not deprive a consumer of mandatory rights that may apply under the law of their jurisdiction.

28. Changes to These Terms

We may update these Terms periodically.

The version applicable to an order is generally the version in effect when that order is placed.
